Delachaux announced today that it has entered into a definitive agreement with Wabtec Corporation (“Wabtec”) to sell Frauscher Sensor Technology (“Frauscher” or the “Company”), a global market leader in train detection.
Delachaux along with Michael Thiel, Frauscher CEO who holds a minority stake in the Company, are selling Frauscher for an Entreprise Value of €675 million. The transaction is subject to customary closing conditions and regulatory approvals.
“Frauscher’s exit from Delachaux after 6 years is obviously an important step. I have full confidence in the future of Frauscher, whose development during this period within Delachaux has been remarkable. Its talented teams and capacity for innovation will enable it, within Wabtec’s Digital Intelligence business, to pursue its growth projects,” said Delachaux CEO Guy Talbourdet. Stéphane Delachaux, chairman of the group, added “This divestment will give the opportunity to strengthen the family control over Delachaux, guaranteeing the Group’s long-term stability and sustainability, and will support the growth of Delachaux other businesses: Pandrol, Conductix Wampfler and DCx Chrome.”
